Sculpt wise it's just a repaint. But the jolly saint nick version comes with a snow globe (I know it's not a snow globe, but I call it one). The original version comes with the massive Grayskull diorama.

How does that make the 2nd version all that superior?

There's a much nicer "flesh-tone" paint wash on the 2nd release imo, aswell as more realistic looking eyes. The head on the 2nd release is also removable...the 1st is not (the same goes for the cape too). These are many of the reasons I prefer the 2nd.

While I admit its a pretty box, at the end of the day its still just a jazzed-up box man. In my opinion no box is worth that kinda cash...especially when you could make a much nicer display piece simply by visiting any HobbyLobby.

It was an exclusive. The first MOTUC fig made/sold. I could not reproduce this box at a HobbyLobby. Greyskull will never have to leave his box and I can still display him. I love it and dare you to find one for under $100. Considering all of the other figs I want that go for 100 & over this one is worth it. Fing Fang Foom & Giant man have no box, Sub MU Angle is too small of a fig to spend $100 on. Let alone open it once you spend the $. I'm not trying to start an argument just saying that I can't just make a nicer display. The box lights up and talks!
