According to the show's producer Greg Weisman, Sony had given Spider-Man's television rights back to Marvel BEFORE Disney purchased them. However, Sony retained the ownership rights to the series and to many of the production components, such as character designs and storylines. This made it very difficult for the two companies to work things out, as each company basically lacked the essential rights to keep the show going. Disney then purchased Marvel literally within weeks of the rights return, and more than likely sensing how tricky legally it would be to keep the show going, decided to move forward with Ultimate Spider-Man instead.

That said, Spectacular Spider-Man was already in danger of being cancelled after it's first season. Greg Weisman stated that after it's first season, the brass as Sony decided that the show's fate depended largely on the ratings of the show's second season, along with it's DVD sales, as to whether or not a third season would see the light. In the long run it didn't matter anyways, as Sony then ended up relinquishing the TV rights back to Marvel just before the Disney purchase.

I ranted about this on another thread, but we REALLY need to stop blaming Disney for ruining everything good we love. Spectacular's demise was a goof ENTIRELY on Sony's part, who has done a piss poor job with the Spidey license over the past few years and has a track record to prove it...
