If you are referring to the Walmart MP03 Starscream, the major difference lies in that this version is based off of the MP11 version of the mold, which has a slightly different transformation due to some different molded parts on the figure. There are also a few different molded pieces, such as the panels where the feet fold out, the head (the older figure has a smaller head with interchangeable faces...where the newer head is larger and does not...) and the null rays are on swivel ball joints, where as the older figure's just plugs directly into the arms and is a swivel only.
Here are a few pics showcasing the major differences, as illustrated on the two figures that use the same mold of each version, the Walmart Exclusive Skywarp (which the older MP03 Starscream used) and the SDCC Acid Storm (which uses mold of the newer MP11 SS.)

All things said, while I haven't picked up the new SS (I have the iGear PP03T Traitor as my Starscream, which is far superior to the Hasbro or Takara versions IMO) the newer TRU figure based on mold alone is the superior version, and is a bit more sturdy and streamlined than the older Walmart exclusive. If you have picked up any of the other seekers put out from TRU and Hasbro these past few years (Thundercracker, Acid Storm, and Sunstorm) you should know what to expect.
PS. Sorry about the dust on Acid Storm. Been a while since I've pulled him off the shelf!
Nice thanks for that I've been wondering what the differences are. I have both versions and picked up the Walscream recently again loose though this time.
